ARTICLES OF ASSOCIATION
of SDRUDZENIE ZNAM I MOGA (KNOW AND CAN ASSOCIATION) Non-Profit Association
I. Statute
Art. 1. /1/ The Association is a non-profit legal entity, which is established by entering it in the Register of non-profit legal entities in the area of the County Court of its seat.
/2/ The Association carries out its activity for the benefit of private persons.
/3/ The Association has a non-governmental, non-political and non-religious character.
/4/ The Association is not limited by time or any other terminating condition.
/5/ The Association carries out its activity independently and/or in cooperation with other youth non-governmental organisations and associations in coordination and joint carrying out of initiatives and programmes.
II. Name, seat and address
Art. 2. /1/ The name of the Association is Sdrudjenie Znam i Moga (Know and Can Association), hereinafter referred to as “The Association”
/2/ The Association has its seat in the City of Sofia and address of management: 52 Evlogi Georgiev Blvd.
Art. 3. The name of the Association, the seat and address of management, as well as details regarding the registration, including BULSTAT number, shall be placed on all written statements on behalf of the Association.
III. Objectives of Sdrudjenie Znam i Moga (Know and Can Association) and means of their achievements. Subject of activity.
Objectives
Art. 4. The Association has the following objectives:
1. to assist for stopping the human and intellectual potential drain from Bulgaria;
2. to develop and implement specialized programmes for development of the abilities and intellect of children, youths and adults;
3. to raise the knowing and capable person as a model of behaviour;
4. to assist for building of characters, development of personal qualities, acquisition of knowledge and skills;
5. to assist children and youths to be independent, assured and responsible;
6. to assist for the professional choice of youths according to their wishes, abilities and expectations;
7. to provide counsel and directions for organizing time, behaviour at the place of work, avoidance and not causing any conflicts, ability to conduct debates and demonstration of tolerance;
8. to develop attention, coordination, patience, spatial understanding, speaking abilities, fantasy and creative skill in children;
9. to develop rational and non-standard ways of thinking of children and youths through brain puzzles, logical problems and cases;
10. to create a centre, where thinking people can meet and exchange knowledge, skills, ideas, thoughts, achievements and tolerant attitude in a friendly and not influenced by the outer world environment;
11. to popularise the experience, acquired by the Association;
12. to apply contemporary methods and technology for development of non-traditional education of children and youths в Bulgaria;
13. to train cadres in the field of non-traditional education;
14. to carry out the connection, reciprocal action and mutual help between the members of the Association, as well as coordination of their interest when performing their activity;
15. to make proposals to the competent agencies for regulation of issues of great importance for the development of non-traditional education in Bulgarian schools;
16. to create its own database and information system for gathering professional information;
17. to stimulate and ensure participation of the members of the Association in national and international events;
18. to establish contacts with Bulgarian and international organisations;
19. to use the knowledge and abilities of thinking people in all spheres and to use all means, which it deems appropriate in respect of which a request was made by a person, group of persons or agency, observing the provisions of these Articles of Association;
20. to provide assistance to all knowing and capable creative people everywhere in the world, their religion, ethnos, nationality, beliefs, sexual orientation, sex or membership in the Association notwithstanding.
Means
Art. 5. The Association shall work for the achievement of its objectives using the following major means:
1. Draw up of points of view of educational cases;
2. Distribution of specialised literature, video and audio materials related to the process of education;
3. Publication of printed materials, publications in printed and electronic issues, media contributions;
4. Carries out information activity in relation to changes in the legislation in the field of education;
5. Organisation of and participation in seminars, trainings, discussions etc. for the purpose of popularisation of non-traditional education.
Subject of activity
Art. 6 Subject of activity of the Association is:
1. Development and management of it own projects and programmes;
2. Participation in national and international projects and programmes;
3. Organisation of and assistance for carrying out of regional, provincial, national and international events of practical and educational character in the country;
4. Organisation of standing conducted seminars, lectures, discussions and other forms of exchange and popularisation of non-traditional education;
5. Realisation of contacts and cooperation with governmental bodies and non-governmental organisations, involved in education of children and youths;
6. Conducting discussions and seminars about novelties in non-traditional education;
7. Organisation of training courses for cadres, working in the field of non-traditional education;
8. Consultations and realisation of other activities for implementation of traditional education and popularisation of non-traditional education;
9. Provision of proposals for representatives in scientific and public councils and committees;
10. Organisation of groups of experts in the field of activity of the Association;
11. Award of prizes and insignia of honours, as well as proposals for government and state prizes and insignia of honours;
12. Identification and tuition of intellectually gifted children and youths;
13. Work on developing intellectual programmes with children, youths and adults;
14. Creating groups of interests (GoI);
15. Publishing activity;
16. Exchange of ideas through lectures, seminars, discussions and conferences;
17. Study and analyses of the opinion and concepts of the members, as well as of other organisations, working with/for children and youths;
18. Provision of assistance to people, working on projects, related to children and youths;
19. Provision of assistance of people, working on projects related to intelligence and thinking;
20. Provision of creative help for the members of the Association.
IV. Membership
Membership rights and obligations
Art. 7 Membership in the Association is voluntary. Members may be physical persons and legal entities, who share the objectives of the Association and the means for achieving them, observe the Articles of Association and regularly pay their membership fee;
Art. 8 The members of the Association are entitled:
1. to participate in the activity and management of the Association;
2. to be elected to its governing bodies;
3. to carry out control on the work of the Association and its governing bodies;
4. to be informed about the activity of the Association;
5. to make use of the property of the Association and of the results of its activity;
6. to table proposals for amendment and supplement of the Articles of Association of the Association;
7. to have access to the information system of the Association;
8. to participate in the proceedings of the General Meeting.
Art. 9 The members of the Association are obligated:
1. to pay their membership fee regularly;
2. to adhere to the Articles of Association of the Association and to work for achieving its objectives;
3. to work for increasing the property of the Association;
4. to assist for raising the public prestige of the Association.
Art. 10 Membership rights and obligations are not transferable and do not pass over to other persons in the event of death or termination. Exercising membership rights may be provided to another person by authorization with a notarised signature on a Power of Attorney.
Acquisition of membership
Art. 11 (1) New members of the Association are admitted by the General Meeting.
(2) Candidates submit a written application to the Board of Managers, which examines the application within one month and presents the application to the first General Meeting.
(3) The General Meeting admits members by open vote and simple majority.
Termination of membership
Art. 12 (1) Membership is terminated:
1. by unilateral expression of will to the Association;
2. by expulsion;
3. in the event of death of a physical person – member of the Association;
4. in the event of placing under full injunction of the person;
5. in the event of termination of the legal entity – member of the Association;
6. in the event of drop-out;
7. in the event of termination of the Association.
(2) Resolution concerning expulsion is voted by the Board of Managers of the Association in case of behaviour, which makes any further membership contradictory. Resolution concerning expulsion may be appealed before the General Meeting of the Association.
(3) Drop-out of membership is present when there is a systematic failure to pay the membership fee and non-participation in the activity of the Association. Drop-out is established by the Board of Managers according to documents and with a due resolution, which terminates such membership.
Membership fee
Art. 13 (1) All members of the Association are obligated to make property instalments in the form of membership fee.
(2) Membership fee is collected according to resolution of the General Meeting and not more often than once a year.
(3) The membership fee amount is determined on the grounds of a budget, approved by the General Meeting and which is, prior to all, consistent with the balance of income/expenditures.
(4) Membership fee is paid to the treasury of the Association. The deadline for payment of the membership fee is the end of the first quarter of the calendar year. Interest is due on the delayed membership fee, which is equal to the basic interest rate, determined by BNB.
Property
Art. 14 (1) The property of the Association consists of right of ownership and other real rights on main and turnover funds, receivables, rights of intellectual property and other rights, depending on the normative acts in effect.
(2) The property of the Association is invested in Bank deposits, bonds, trading companies, real estate and in other appropriate ways.
Donations, sponsorship etc.
Art. 15 (1) The Association may receive donations etc. from physical persons and legal entities in the form of monetary funds and material items.
(2) The Association may receive donations etc. from Bulgarian and foreign physical persons and legal entities.
(3) Donations do not bind or obligate Sdrudjenie Znam i Moga (Know and Can Association) in respect of the donor in any way.
(4) The Association may enter into Sponsorship Agreements and use any and all means, which are not prohibited by the law for funding of all or part of the activities of Sdrudjenie Znam i Moga (Know and Can Association), which are consistent with the objectives, specified in Chapter III.
Art. 16 Notwithstanding the provisions of Art. 13, the amount of the membership fee may not exceed 4% of the average annual labour salary for the past 12 months, except if the proposal for such increase is adopted by the General Meeting with 51% of the present members.
Art. 17 Sdrudjenie Znam i Moga (Know and Can Association) is solely liable for its obligations. No member of Sdrudjenie Znam i Moga (Know and Can Association) is liable for the obligations of Sdrudjenie Znam i Moga (Know and Can Association) beyond the amount of the respective unpaid membership fee.
Art. 18 The members of the Board of Managers do not receive any monetary funds from Sdrudjenie Znam i Moga (Know and Can Association), except for reimbursement of reasonable expenses, incurred in the course of carrying out the activity of Sdrudjenie Znam i Moga (Know and Can Association).
Business activity
Art. 19 (1) The Association carries out the following business activity, related to its main subject of activity:
1. Provides points of view and develops its own projects and programmes;
2. Develops and adopts programmes for implementation within the country of regional, provincial, national and international events с practical and educational character;
3. Adopts programmes for joint actions with other organisations within the country and abroad;
4. Assists in raising the educational culture of citizens in the society through organisation and holding standing effective seminars, lectures, discussions and other forms of exchange and popularisation of non-traditional education;
5. Informs its members on all issues, which are or will be important for educational culture;
The Association may also carry out supplemental business activity, related to the main subject of activity: make economic analyses and consultations, expert’s evaluations, marketing research, personnel training, information services through printed issues, editor’s and distribution activity of advertising materials, souvenirs, cards, organisation and holding of seminars, fairs and exhibitions and other activities in accordance with its objectives and which are permitted by the Law on the Non-Profit Corporate Bodies.
(2) The business activity carried out is subject to the provisions and the procedure, specified by the Commerce Code, the Accountancy Act, tax laws and other legal provisions, regulating the respective business activity.
(3) Execution and control of the business activity is assigned to the Board of Managers.
V Management
Bodies of the Association
Art. 20 The bodies of the Association are the General Meeting and the Board of Managers.
General Meeting
Art. 21 The General Meeting is the supreme body of Sdrudjenie Znam i Moga (Know and Can Association). All members of the Association participate in it.
Art. 22 (1) General Meeting is convened by the Board of Managers at least once per annum.
(2) The Board of Managers convenes Extraordinary General Meeting at the request of one-third of the members of Sdrudjenie Znam i Moga (Know and Can Association).
Art. 23 (1) General Meeting is convened by written invitation, which must contain the agenda, date, time and place of holding the General Meeting, as well as at whose initiative it is convened.
(2) The invitation is published in the Government Gazette and is also placed at the board of announcements in the building where the management of the Association is located, at least one month prior to the specified date.
(3) Every member may put forward a written proposal in advance concerning inclusion of issues in the agenda.
Art. 24 The General Meeting of Sdrudjenie Znam i Moga (Know and Can Association) is deemed regular, if more than half of all of its members are present. If the necessary number of members is not present, the meeting is postponed for one hour later with the same agenda and it is deemed regular, no matter how many members are present then.
Art. 25 (1) Every delegate to the General Meeting is entitled to one vote only.
(2) At the General Meeting one member of Sdrudjenie Znam i Moga (Know and Can Association) may represent no more that three members of the General Meeting pursuant to a written Power of Attorney.
(3) Member of the General Meeting is not entitled to a vote in the event of solving issues, related to:
1. himself (herself), his (her) spouse or relatives by direct line – without limitations, the lateral branch – up to fourth degree or kinship by marriage – up to second degree, inclusive;
2. legal entities, of which he (she) is manager or may impose or hinder adoption of resolution.
Art. 26 (1) The General Meeting is opened by the Chairperson of the Board of Managers, who proposes a draft of agenda and executives of the meeting (Chairperson and Recording Secretary).
(2) Every proposal is passed by open vote.
(3) No resolution may be adopted on issues which are not entered in the adopted agenda.
(4) The rule of paragraph 3 is not valid for removal of members of the Board of Managers.
Art. 27 The meeting is directed by the elected Chairperson. The Recording Secretary takes Minutes, which are signed by himself and by the Chairperson of the meeting and is kept for unlimited period of time.
Art. 28 (1) The resolutions of the General Meeting are passed with simple majority by the present members.
(2) With a qualified majority – two-thirds of the votes of the present members, are adopted resolutions on:
1. amendment and supplement of the Articles of Association;
2. termination by means of liquidation or transformation of the Association;
3. election of Board of Managers and of its Chairperson.
Art. 29 (1) The General Meeting:
1. forms the general policy of Sdrudjenie Znam i Moga (Know and Can Association)
2. determines the main directions and the programme of the activity of the Association, according to the objective and the subject of activity;
3. resolves on issues concerning the relations of the Association with other physical persons and legal entities;
4. elects and discharges the members of the Board of Managers and its Chairperson;
5. adopts resolutions for transformation or termination of the Association;
6. amends and supplements the Articles of Association;
7. adopts other internal acts;
8. expulses members;
9. adopts resolutions regarding disposal of the property of the Association;
10. adopts the budget of the Association;
11. adopts resolutions regarding the membership fee amount and due;
12. adopts the Report on the activity of the Board of Managers;
13. rescinds resolutions of the other bodies of the Association, which contradict to the law, these Articles of Association or other internal acts, which regulate the activity of the Association.
(2) The resolutions of the General Meeting are obligatory for the other bodies of the Association.
Board of Managers
Art. 30 (1) The Board of Managers consists of no less than three and no more that five persons, members of Sdrudjenie Znam i Moga (Know and Can Association) and is elected for a term of three years.
(2) The Board of Managers consists of Chairperson, Scientific Secretary and Organisational Secretary and members.
Art. 31 (1) The Board of Managers is responsible for:
1. the management and development of Sdrudjenie Znam i Moga (Know and Can Association);
2. popularisation of the objectives of Sdrudjenie Znam i Moga (Know and Can Association), specified in these Articles of Association;
3. recruitment of candidates for membership;
4. control of the groups by interests;
5. financial issues, advertising, information and contacts between members and organisations;
6. preparation of issues of Sdrudjenie Znam i Moga (Know and Can Association)
7. organisation, encouragement and carrying out of scientific studies in accordance with the objectives of Sdrudjenie Znam i Moga (Know and Can Association);
8. maintenance of an office and archives;
9. management of other activities of Sdrudjenie Znam i Moga (Know and Can Association);
10. ensures the execution of the resolutions of the General Meeting;
11. disposes of the property of the Association, observing the requirements of these Articles of Association;
12. makes and presents draft budget to the General Meeting;
13. makes and presents to the General Meeting draft of the activity of the Association;
14. adopts resolutions on all issues, which by law or according to the Articles of Association are not part of the rights of another body.
(2) The Board of Managers convenes at least once a month and adopts its own rules of proceedings.
Art. 32 (1) Meetings of the Board of Managers are convened by the Chairperson.
(2) The Chairperson is obligated to convene a meeting of the Board of Managers at the written request of one third of its members.
(3) If, under the hypothesis of paragraph 2, the Chairperson fails to convene a meeting within one week from the date of the written request, it can be convened by any of the interested members of the Board of Managers.
(4) In the event of absence of the Chairperson, the meeting is chaired by another member of the Board of Managers, determined by the latter.
Art. 33 The Board of Managers can adopt resolution:
1. if at the meeting are present more than half of its members. Also present is a member of the Board of Managers, with whom is established a two-way telephone or other connection, which guarantees establishing his identity and allows his participation in the discussion and adoption of resolutions. This way of voting is certified in the Minutes;
2. without holding a meeting, if the Minutes for the adopted resolution are signed without any remarks by all members of the Board of Managers.
Art. 34 (1) The Board of Managers adopts its resolutions by simple majority – 50% + 1 of the present members.
(2) The Board of Managers adopts resolutions unilaterally:
1. relating to the liquidation of the Association, if it is performed by the Board of Managers;
2. relating to disposal of the property of the Association;
3. relating to determining the procedure and organisation of carrying out the activity of the Association;
Art. 35 (1) Every member of the Board of Managers is entitled to one vote only.
(2) Every member of the Board of Managers must be a regular member. If this provision is not fulfilled, he (she) is discharged from office.
(3) In the event of death, submission of resignation or suspension, the unoccupied position is filled by a member of the Board of Managers, appointed by the Board of Managers until the next elections.
Art. 36 (1) Every regular member is entitled to be elected to the Board of Managers and to take the respective positions.
(2) The Chairperson is the main administrator and main financially responsible person of Sdrudjenie Znam i Moga (Know and Can Association), who:
1. Chairs the meetings of the Board of Managers;
2. directs the operation of Sdrudjenie Znam i Moga (Know and Can Association) in accordance with these Articles of Association;
3. represents Sdrudjenie Znam i Moga (Know and Can Association) independently or together with the Programme Secretary in the country and abroad;
4. is responsible for the correct recording and monitoring of the financial documents;
5. is responsible for making a detailed annual budget and for its submission to the Board of Managers.
(3) The Organisational Secretary is responsible:
1. for the administrative management of Sdrudjenie Znam i Moga (Know and Can Association);
2. for the publishing activity;
3. for providing lists of the members and presenting them at request;
4. for providing any materials, concerning the activity of the Association;
5. for maintaining relations between members and organisations;
6. for advertising and information activity on local and international scale;
7. for other similar obligations, which may be assigned to him.
(4) The Programme Secretary is responsible:
1. for performing the functions of the Chairperson, when the latter is prevented from doing so;
2. represents independently or jointly with the Programme Secretary of Sdrudjenie Znam i Moga (Know and Can Association) within the country and abroad;
3. for organisation and proper execution of programmes and projects;
4. for development of new programmes and projects;
5. for admission of new members;
6. for local and international groups of interests;
7. for other such obligations, which may be assigned to him.
(5) The members of the Board of Managers are elected directly by the General Meeting and the Chairperson is determined with the same resolution. The other positions are divided between the members of the Board of Managers with a resolution, adopted at the first meeting held after its election.
(6) The mandate of the said positions is the same as that of the Board of Managers.
(7) The elected officers have no right to take any other position in the Board of Managers of Sdrudjenie Znam i Moga (Know and Can Association), until the expiry of their mandate.
(8) No officer may hold one and the same position for more than two consecutive mandates.
Art. 37 The Board of Managers is obligated periodically and within the legal time limits to prepare the reporting information on the activity of the Association, provided for by the Accountancy Act, observing the principles of openness, reliability and timeliness.
Election of members to the Board of Managers
Art. 38 (1) The members of the Board of Managers are elected for a five-year mandate.
(2) The members are elected by the General Meeting by simple majority of the votes.
Art. 39 In the event that the financial state of the Association permits, the members of the Board of Managers are entitled to an annual remuneration. The amount of such annual remuneration of the Board members is determined by the General Meeting.
VII. Removal from office
Art. 40 (1) The General Meeting may remove officers from their position for some violation, abuse of power or failure to perform their obligations.
(2) The decision for removal must be specific and to provide reasons for removal. Prior to voting such resolution, the officer in question must be given opportunity to present his(her) point of vies.
Art. 41 The Board of Managers may remove from office any officers, who are appointed without right of vote at any time.
VIII. Rights and obligations of the members of Sdrudjenie Znam i Moga (Know and Can Association)
Art. 42 (1) The members of Sdrudjenie Znam i Moga (Know and Can Association) are obligated:
1. to observe the Articles of Association of Sdrudjenie Znam i Moga (Know and Can Association);
2. to pay their annual membership fee in the amount, determined by the Board of Managers of Sdrudjenie Znam i Moga (Know and Can Association);
3. to allow their names and/or cell phone numbers to be published in officially printed lists of Sdrudjenie Znam i Moga (Know and Can Association);
(2) Failure to pay the membership fee without giving notice is accepted as refusal of membership.
Art. 43 Every member is entitled:
1. to participate in the management of the Association;
2. to be informed on its activity;
3. to make use of the property of the Association and of results of its activity.
Art. 44 (1) In respect of the obligations of the Association every member is liable for up to the amount of the envisaged membership fee.
(2) Membership rights and obligations, except for the proprietary ones, are non-transferable and cannot be transferred to any other persons.
Art. 45 Except for the hypothesis of Art. 40, paragraph 2, membership is also terminated:
1. following an unilateral expression of will, addressed to the Association;
2. following the death of the person;
3. in the event of placing the person under complete judicial disability;
4. in the event of expulsion of the person by resolution of the General Meeting, taken as a final measure for perpetrated violations.
Art. 46 (1) The General Meeting of Sdrudjenie Znam i Moga (Know and Can Association) may also impose sanctions to any of its members, who commits an action which is detrimental to the Association, under the condition that an opportunity has been provided for a just and impartial hearing of the case.
(2) Such sanctions may include reprobation, suspension of a mandate for a certain period of time or removal from office and termination of membership for a certain period of time.
Art. 47 (1) In the event of a dispute of a member with Sdrudjenie Znam i Moga (Know and Can Association), another division of it or with other member, ensuing from activities, related to Sdrudjenie Znam i Moga (Know and Can Association), there must be exhausted all possibilities for solving it or removal of the reasons within the Association, prior to it being submitted for solution to external arbiters.
(2) If the above said is not abided by, this can be treated as an act to the detriment of Sdrudjenie Znam i Moga (Know and Can Association).
IX. Amendments and supplements to the Articles of Association
Art. 48 any proposals for amendment of the Articles of Association in effect, recommended by the Board of Managers or by one-third of the regular members, is subjected to vote at a General Meeting.
X. Transformation of the Association
Art. 49 (1) The Association may be transformed by means of:
1. transformation to another kind of non-profit legal entity;
2. bundling;
3. merger;
4. separation;
5. unbundling.
(2) Following separation or unbundling non-profit legal entities are jointly liable for the obligations, which have occurred until their transformation.
(3) The members of non-profit legal entities, which have merged or bundled, become members of the new non-profit legal entity, while the members of the non-profit legal entity, has separated - members of the new established non-profit legal entities, at their choice.
XI. Termination of the Association
Art. 50 (1) The Association is terminated:
1. by resolution the General Meeting;
2. by decision of the County Court at the seat of the Association.
(2) The decision of the Court on item 2 of the preceding paragraph is enacted following a claim by every interested person or by the prosecutor.
Art. 51 (1) In the event of termination of the Association a liquidation takes place.
(2) Liquidation is carried out by the Board of Managers or by a person, determined by it.
(3) If no liquidator is determined according to the procedure of paragraph 2, as well as in the case of Art. 48, paragraph 1, item 2 of these Articles of Association, it is determined by the County Court at the seat of the Association.
Art. 52 Distribution of the property, which has remained after satisfying the creditors, is resolved by the General Meeting of the Association.
XII. Annual settlement of accounts
Art. 53 The financial-accounting and reporting activity of the Association are examined by the Treasurer, who is elected by the General Meeting for a term of two years.
Art. 54 By the end of February of every year the Board of Managers makes an Annual Financial Statement and Report on the activity for the expired calendar year.
Art. 55 The Report on the activity describes the course of activity and the state of the Association and the Annual Financial Statement is explained.
Art. 56 The Annual Financial Statement and the Report on the activity are presented for discussion to regular General Meeting, convened by the Board of Managers for this purpose.
Art. 57 According to the provisions of the Accountancy Act the Association prepares reporting information, observing the principles of openness, reliability and timeliness.
Art. 58 (1) The Association does not distribute any profit.
(2) The income from the business activity of the Association are used only for achieving the goals, specified in these Articles of Association.
Art. 59 (1) Minutes are taken at the sessions of the General Meeting, in which are recorded the discussions, tabled proposals and statements and the adopted resolutions. The Minutes are certified by the signatures of the Chairperson and the Recording Secretary and are bound in special books. Such book is kept by the Chairperson of the General Meeting. The members of the Association may get acquainted with the contents of the Minutes Books and to receive copies or excerpts from the Minutes.
(2) The Association maintains a register of the members, in which are recorded the name, seat and address of management, the company file for court registration and BULSTAT
XIII. Interim and concluding provisions
Art. 60 Any amendments to these Articles of Association can be made only according to the procedure, envisaged in it and in the Non-profit Legal Entities Act.
Art. 61 As far as interpretation or implementation of the provisions of these Articles of Association, there shall be applied the provisions of the common Bulgarian civil legislation and the provisions of the Non-profit Legal Entities Act.
Art. 62 Any issues which are not settled in these Articles of Association, shall be settled according to the provisions of the Non-profit Legal Entities Act.
